Welcome to Charlie's Cozy Room! The terms "we," "us," and "our" refer to Charlie's Cozy Room. We operate this store and website to provide you with a curated shopping experience (the "Services"), powered by Shopify.

We make every effort to accurately represent our products. However, colors and product appearance may vary depending on your device's display settings. We do not warrant that product quality or appearance will match your expectations or exactly match what is depicted in our store.
All product descriptions are subject to change at any time without notice. We reserve the right to discontinue any product or limit quantities available to any person, region, or jurisdiction.
SECTION 3 – ORDERS
When you place an order, you are making an offer to purchase. Charlie's Cozy Room reserves the right to accept or decline any order at its discretion. Your order is not accepted until Charlie's Cozy Room confirms acceptance and processes your payment.
You may cancel your order at any time before it has been fulfilled and shipped by logging into your customer account at account.charliescozyroom.com. Once an order has been fulfilled, cancellations are no longer possible and our Refund Policy will apply.
In the event we decline, modify, or cancel your order, we will attempt to notify you via the email, billing address, or phone number provided at checkout.
SECTION 4 – PRICES AND BILLING
Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect at the time your order is placed, as confirmed in your order confirmation email. Unless otherwise stated, posted prices do not include taxes, shipping, handling, customs, or import charges.
Prices in our online store may differ from those offered in physical stores or third-party platforms. Promotional pricing is governed by separate terms; in the event of a conflict, promotion terms will govern.
You agree to provide accurate, current, and complete payment information for all purchases and to promptly update your account information as needed. You represent that your credit card information is valid, that you are authorized to use it, and that you will pay all charges incurred, including applicable taxes and shipping fees.
SECTION 5 – SHIPPING AND DELIVERY
Because our products are custom-printed on demand, please allow 2–7 business days for production before your order ships. Once your order is handed to the carrier, delivery times are estimates only and are not guaranteed.
We are not liable for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer your order to the carrier, title and risk of loss passes to you.
SECTION 6 – INTELLECTUAL PROPERTY
Our Services — including all trademarks, text, images, graphics, video, audio, product reviews, and their design and arrangement — are owned by Charlie's Cozy Room, its affiliates, or licensors, and are protected by U.S. and international intellectual property laws.
These Terms permit you to use our Services for personal, non-commercial use only. You may not reproduce, distribute, modify, publicly display, or transmit any material from our Services without our prior written consent. Unauthorized use may violate applicable intellectual property laws. All rights not expressly granted are reserved.
Charlie's Cozy Room's names, logos, and product names are trademarks of Charlie's Cozy Room or its affiliates. Shopify's name, logo, and product names are trademarks of Shopify. All other trademarks belong to their respective owners.

We may provide access to optional third-party tools as part of our Services. These tools are provided "as is" and "as available" without warranties of any kind. Charlie's Cozy Room is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Charlie's Cozy Room. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Charlie's Cozy Room, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Charlie's Cozy Room.

14.4 Agents must: (i) identify themselves in all HTTP/HTTPS requests by including "Agent/[agent name]" in the user agent string; (ii) not conceal or mimic human behavior or circumvent CAPTCHAs; (iii) respond truthfully when asked whether interactions are from a human or computer; and (iv) not circumvent any measures intended to block or limit Agent access.

We may terminate this agreement or your access to our Services at any time without notice at our sole discretion. You will remain liable for all amounts due up to the date of termination.
The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any provisions that by their nature should survive.

WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU.

TO THE FULLEST EXTENT PROVIDED BY LAW, CHARLIE'S COZY ROOM, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND THOSE OF SHOPIFY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THE SERVICES.

You agree to indemnify, defend, and hold harmless Charlie's Cozy Room, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, arising out of: (1) your breach of these Terms; (2) your violation of any law or third-party rights; or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim. We may control the defense and settlement of such claims at your expense but will not settle any claim requiring non-monetary obligations from you without your consent.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the remainder of these Terms will remain in full force and effect.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You and Charlie's Cozy Room consent to the exclusive venue and personal jurisdiction of the federal and state courts located in Houston, Texas.

SECTION 24 – CHANGES TO TERMS OF SERVICE
We reserve the right to update or replace any part of these Terms at any time. Changes take effect on the date specified in the notice. Your continued use of our Services after changes are posted constitutes your acceptance of the updated Terms.
